LMW (LMS Management Web) Terms of Use

Article 1 (Service Overview)

This system (hereinafter referred to as the “System”) is provided for the purpose of supporting the business operations of Yamaha Corporation and its group companies (hereinafter collectively referred to as “Yamaha”), as well as Yamaha’s distributors, franchise partners, and other affiliated entities (hereinafter referred to as “Partner Companies”).

These Terms supplement, and do not replace, any agreement between Yamaha and a Partner Company. To the extent of any inconsistency, the applicable agreement between Yamaha and the Partner Company will prevail.

Article 2 (Eligibility)

Use of the System is limited to the following individuals:

(i) officers and employees of Yamaha designated by Yamaha (hereinafter referred to as “Internal Users”); and
(ii) officers and employees of Partner Companies designated by the respective Partner Company (hereinafter referred to as “External Users”).

Internal Users and External Users shall be collectively referred to as “Users.”

Article 3 (Management of Authentication Information)

The User shall, at its own responsibility, properly manage authentication credentials (including, but not limited to, user IDs and passwords) and all information obtained through the use of the System (hereinafter referred to as the “Obtained Information”), and shall not transfer, lend, or disclose such information to any third party.

In the event that Yamaha incurs any damage due to inadequate management of authentication credentials or Obtained Information by an External User, or due to errors in use, the responsibility for such damage shall be borne by the Partner Company to which the External User belongs.

Users shall implement reasonable administrative, technical and physical safeguards to protect authentication credentials and any information accessed through the System from unauthorized access, use or disclosure.

Users shall immediately notify Yamaha if they become aware of any actual or suspected unauthorized access to the System, compromise of authentication credentials, or other security incident affecting the System or information accessible through the System.

Article 4 (Protection of Personal Information)

Users acknowledge that the System may contain personal information relating to students, parents, instructors and other individuals.

Users shall access, use and disclose such personal information solely for authorized educational and business purposes and only to the extent necessary to perform their assigned responsibilities.

Users shall comply with all applicable privacy laws, Yamaha's privacy policies, and any instructions issued by Yamaha regarding the handling of personal information.

Article 5 (Prohibited Conduct)

Users shall not engage in any of the following acts when using the System:

Acts that violate laws or regulations, or are related to criminal activity;
Acts that are contrary to public order and morals;
Acts that infringe upon the rights or interests of Yamaha, other Users, or any third party;
Acts that impose an excessive burden on the network or systems of the System;
Reverse engineering or any other form of analysis of the System;
Acts that may interfere with the operation of the System;
Any other acts that Yamaha reasonably deems inappropriate;
Accessing personal information or educational records unless required to perform their authorized duties;
Copying, downloading, exporting or retaining information from the System except where expressly authorized by Yamaha;
Disclosing information obtained through the System to any unauthorized person;
Sharing user accounts or authentication credentials with another individual;
Using information obtained through the System for personal purposes or any purpose unrelated to authorized Yamaha business; and
Uploading malicious software or otherwise compromise the security or integrity of the System.

Article 6 (Confidentiality)

Users shall maintain the confidentiality of all non-public information accessed through the System, including personal information, educational records, business information, reports, training materials and other confidential information.

This confidentiality obligation continues after the User's authorization to access the System has ended.

Article 7 (Security Incidents)

Partner Companies shall notify Yamaha without undue delay upon becoming aware of any:

unauthorized access to the System;
unauthorized disclosure of information obtained through the System;
loss or compromise of authentication credentials;
suspected cybersecurity incident affecting the System; or
other event that could reasonably affect the confidentiality, integrity or availability of the System.

Partner Companies and Users shall cooperate reasonably with Yamaha in investigating suspected security incidents, suspected privacy incidents, or suspected misuse of the System. Such cooperation shall include providing relevant information reasonably requested by Yamaha in writing, subject to applicable law (including privacy and data protection laws) and any confidentiality obligations owed to third parties. Information provided pursuant to this provision shall be treated as confidential and used solely for the purpose of the investigation.

Article 8 (Monitoring)

Yamaha reserves the right to monitor and review use of the System, including system logs and user activity, for the purposes of maintaining security, investigating suspected misuse, ensuring compliance with these Terms and protecting the integrity of the System.

Article 9 (Account Administration)

Partner Companies shall ensure that:

access to the System is limited to authorized Users;
User accounts are promptly updated when an individual's role changes;
User accounts are promptly disabled when access is no longer required; and
Users receive appropriate training regarding the secure use of the System.

Article 10 (Data Retention Account Administration)

Users shall not retain or store information obtained through the System for longer than necessary to perform their authorized responsibilities or as otherwise authorized by Yamaha.

Upon termination of a User's access, the Partner Company shall promptly destroy or securely return any information obtained from the System where required by Yamaha.

Article 11 (Compliance with Yamaha Policies)

Users shall comply with Yamaha's applicable information security policies, privacy policies, acceptable use requirements, and any other policies or procedures communicated by Yamaha from time to time regarding the use of the System.

Article 12 (Suspension of the System)

Yamaha may suspend or discontinue the provision of all or part of the System without prior notice in any of the following cases:

When emergency inspection or maintenance of the system’s computer or infrastructure is required;
When operation becomes impossible due to failure of computers or communication lines, erroneous operations, excessive access concentration, unauthorized access, hacking, or similar events;
When operation becomes impossible due to force majeure events such as earthquakes, lightning, fire, storms, floods, power outages, or other natural disasters;
Any other cases where Yamaha reasonably determines that suspension or interruption is necessary.

Article 13 (Suspension of Use)

If an External User falls under any of the following circumstances, Yamaha may, without prior notice, suspend the use of the System in part or in whole for the Partner Company to which such External User belongs:

Violation of any provision of these Terms;
Any other case where Yamaha reasonably determines that continued use of the System is inappropriate.

Article 14 (Limitation of Liability and Disclaimer)

The System is provided on an “as is” basis. To the fullest extent permitted by applicable law, Yamaha shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of, or inability to use, the System. However, this shall not apply in cases of willful misconduct or gross negligence on the part of Yamaha.

If there is a separate agreement between Yamaha and a Partner Company, the terms of such agreement shall prevail over these Terms.

Nothing in these Terms limits a User's obligation to comply with applicable privacy, confidentiality or information security requirements.

Article 15 (Amendment of Terms)

These Terms may be revised as necessary, and the revised Terms shall become effective upon posting on this page.
